Terms of Service
These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, software, and related services (collectively, the "Services") operated by Emeralab LLC ("emera/lab", "we", "us", or "our"), including emeralab.com and any apps published under our Apple App Store or Google Play developer accounts.
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Who we are
Emeralab LLC is a limited liability company organized in the United States.

2. Eligibility
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts and security
Some Services may require an account. You are responsible for providing accurate information, keeping your credentials confidential, and for all activity under your account.
Notify us promptly at the contact email above if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or that pose a security risk.
4. Description of services
emera/lab provides software development, outsourcing, architecture, application support, and related digital products. Features may change over time. We do not guarantee that any particular feature will remain available indefinitely.
Client work may also be governed by a separate written agreement (statement of work, master services agreement, or similar). If there is a conflict between that agreement and these Terms regarding paid professional services, the written agreement controls for that engagement.
5. Acceptable use
You agree not to misuse the Services. Without limitation, you must not:
- Violate any applicable law or regulation
- Infringe intellectual property, privacy, or other rights of others
- Attempt to gain unauthorized access to systems, accounts, or data
- Interfere with or disrupt the Services, including through malware, scraping that overloads our systems, or denial-of-service attacks
- Upload or transmit unlawful, harmful, or fraudulent content
- Impersonate any person or misrepresent your affiliation with any entity
- Use the Services to develop or distribute competing products by reverse engineering where prohibited by law
6. User content
If you submit content through the Services (for example, messages via a contact form, feedback, or in-app content), you retain ownership of that content. You grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and process that content solely as needed to operate, improve, and provide the Services and to respond to you.
You represent that you have the rights necessary to submit the content and that it does not violate these Terms or applicable law.
7. Intellectual property
The Services, including software, branding, logos, text, design, and other materials (excluding your content), are owned by Emeralab LLC or its licensors and are protected by intellectual property laws.
Except as expressly permitted in writing, you may not copy, modify, distribute, sell, lease, or create derivative works based on our intellectual property.
8. Third-party services and stores
The Services may link to or integrate with third-party websites, APIs, authentication providers (including Google sign-in where offered), payment processors, or app stores. Those services are governed by their own terms and privacy policies. We are not responsible for third-party content or practices.
If you download our apps from the Apple App Store or Google Play, you also agree to the applicable store terms. Apple and Google are not responsible for support, maintenance, or warranties related to our apps, except as required by their platform rules.
9. Fees, trials, and subscriptions
Some Services may be offered free, under a paid plan, or via in-app purchase/subscription through Apple or Google. Prices, billing cycles, and refund rules are shown at purchase time and may be subject to Apple App Store or Google Play policies when billed through those platforms.
Unless required by law or platform policy, fees are non-refundable. We may change pricing with notice where required.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMERALAB LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
Some jurisdictions do not allow certain limitations; in those cases, the limitation applies to the fullest extent permitted.
12. Indemnification
You agree to indemnify and hold harmless Emeralab LLC and its affiliates, officers, and employees from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.
13. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue a Service.
Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.
14. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top will change when we do. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms. For material changes, we may provide additional notice where appropriate.
15. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Courts located in Wyoming will have exclusive jurisdiction over disputes arising from these Terms, except where prohibited by applicable consumer protection laws.
16. General
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms constitute the entire agreement between you and us regarding the Services, except where a separate written agreement applies to a specific engagement.
You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
